of the business entity at each stage of its life. We have proven ourselves
to be "deal makers" by utilizing creative techniques when more traditional
responses are not adequate to meet our clients' objectives.
Organization and Start Up
The selection of an appropriate legal entity, whether sole proprietorship,
corporation, S corporation, partnership, limited partnership or limited
liability company, involves the consideration of issues from a wide range
of disciplines. Our ability to select and structure the appropriate entity
to meet a client's business and legal objective is evidenced by our having
authored the definitive materials on entity selection and structure for
two different legal publishers.
Growth
Our firm is uniquely positioned to assist in the growth of a business
because we are counsel to a number of lending institutions and have the
full ability to assist our clients with their financing needs including
conventional loans, private placements, public offerings or other financing
vehicles. We are experienced in negotiation and preparing the documentation
necessary for the issuance and sale of corporate securities, including
drafting of prospectuses and private placement memoranda. Our emphasis
is on bringing financial transactions to an effective close.
On-Going Counsel
We believe a corporate attorney is most effective as an ongoing advisor
to the operational business entity. We are available to corporate clients
to respond to their everyday questions and concerns, and to address their
inquiries as to both business and legal matters. Our services in these
areas include contract formulation and review, employment matters, environmental
problems, securities compliance, corporate disputes, business planning
and corporate procedures. Our clients value both our judgment as to when
it is appropriate to protect one's agreement with legal documentation
and our ability to protect the business entity's rights with third parties
with creative, uncomplicated drafting.
Combinations and Alliances
We provide advice and documentation in connection with
the purchase, sale and acquisition of businesses, the purchase, sale and
financing of commercial real estate and all related aspects of these transactions.
Our lawyers have extensive experience with international and domestic
companies and their acquisitions. As such, we can counsel clients regarding
the corporate, real estate and tax issues in structuring complex acquisitions,
mergers and joint operating agreements. We offer clients guidance on antitrust
concerns and we have represented corporations in federal and state actions.
Business Terminations
Our clients value our ability to guide them through a satisfactory
exit from operations when an orderly termination or divestiture
is their objective. Terminations are not unlike other legal challenges
facing businesses in that they call for creative responses and
independent thinking.
