Marisa Tuch has a broad transactional practice with extensive experience in mergers & acquisitions, contract drafting and negotiation, advising start-up companies, and serving as outside general counsel to clients.
Marisa has served as M&A counsel to both buyers and sellers, functioning as the clients’ primary legal representative in the transaction. She is experienced in all aspects of the sale of a business, including drafting, reviewing, and negotiating various transactional documents such as non-disclosure agreements, stock purchase agreements, asset purchase agreements, contribution agreements, escrow agreements, and disclosure schedules.
In addition, Marisa regularly serves as outside general counsel to clients in the financial services industry, conducting an array of corporate legal work, including providing legal advice and guidance on corporate structures, forming corporate entities, drafting, reviewing, and negotiating various corporate governance documents, profit interest unit grant agreements, solicitor agreements, promissory notes, employment agreements, and commercial leases.
Marisa began her legal career in 2003 as a corporate attorney at Skadden, Arps, Slate, Meagher & Flom LLP in New York City specializing in corporate finance for large public companies. There she worked with domestic and foreign clients on filings and other documentation related to the Securities Act of 1933 and the Securities Exchange Act of 1934. She continued her corporate law career at Davis Polk & Wardwell LLP and Latham & Watkins LLP in New York City as mergers & acquisitions counsel to both public and private companies on both the buy and sell side of the transactions. She also gained experience drafting legal opinions, fairness opinions, and press releases.
