A team of Saiber attorneys, which included Ami Foger, Pooja Patel, and Gianna Riccoboni, represented Marley Spoon Group SE (“Marley Spoon”), a leading global subscription-based meal kit provider, in connection with a strategic acquisition of BistroMD, LLC, the leading provider of doctor-designed food-as-medicine ready-to-eat (“RTE”) meal plans in the United States. As part of the agreement, BistroMD shareholders will receive 1.4 million in Class A shares of Marley Spoon, 225,000 warrants for Class A shares at €15.00, and 225,000 warrants for Class A shares at €20.00 upon closing. BistroMD shareholders will receive up to an additional 1.2m in Class A shares 12 months after closing, subject to earn-out provisions.
According to a press release issued by Marley Spoon, the acquisition allows Marley Spoon to enter the large and growing RTE market in the U.S. with a differentiated brand focused on health, longevity and functional food offerings.
The transaction closed on February 9, 2024.
